Terms and Conditions of Sale and Service
Effective Date: July 2, 2025
These Terms and Conditions shall govern all sales of goods and services by T.I.E. Industrial, including all related business units and websites, such as FanucWorld.com, Robots.com, TIEIndustrial.com, Tennessee Industrial Electronics, LLC, and The Parker Group, Inc. Any deviation from these terms must be in writing and signed by an authorized officer of T.I.E. Industrial. Buyer’s acceptance of goods or services, issuance of a purchase order, or use of T.I.E. Industrial websites constitutes agreement to these Terms and Conditions.
- Price
All pricing is stated in United States Dollars (USD), exclusive of any applicable taxes, duties, shipping, or handling fees unless otherwise indicated in writing. Prices are firm for thirty (30) calendar days from the date of the quotation. If the Buyer does not provide a valid tax exemption certificate, T.I.E. Industrial reserves the right to add applicable sales, goods and services, value-added, or other transaction taxes to the invoice.
- Payment Terms
All invoices are payable in U.S. funds. A prompt pay discount may apply if payment is received within 10 days of the invoice date and the transaction is not processed via credit card. Otherwise, payment is due per the invoice terms.
- Robot Sales: 50% due upon acceptance of purchase order; remaining 50% (plus any additional charges) due at the time of shipment readiness. Net 30 terms apply.
- Field Services: An upfront purchase order (or direct payment) is required for travel, labor, and materials. Final invoice reflects actual charges.
- All Other Sales: Invoiced 100% upon delivery. Due upon receipt unless otherwise noted.
T.I.E. Industrial reserves the right to modify invoice schedules and payment terms based on ongoing credit review. Past due balances may incur interest at 1.5% per month or the maximum rate allowed by law.
When required, the Purchaser agrees to issue an Irrevocable Letter of Credit (LOC) covering 100% of the total purchase price. LOCs must be issued within 30 days of order placement by a bank acceptable to T.I.E. Industrial.
- Shipping, Title, and Risk of Loss
- Shipping Terms: Delivery occurs when goods are tendered to the carrier (FOB Origin or EXW T.I.E. facility), regardless of shipping method.
- Risk of Loss: Buyer assumes all risk of loss or damage in transit.
- International Shipments: Buyer shall be the Importer of Record and is liable for all associated costs including customs duties, VAT, clearance fees, taxes, and delivery to final destination. All non-U.S. shipments must be marked “FREE DOMICILE.”
If goods are ready for shipment and Buyer requests delay, T.I.E. Industrial reserves the right to:
- Require signed acknowledgment of title transfer;
- Apply storage fees after the mutually agreed holding period.
In the event of lost or damaged merchandise:
- Buyer must retain original packaging and file claims with the carrier unless shipped by T.I.E. Industrial.
- If T.I.E. is the shipper, Buyer must report damage immediately and refrain from installation or repair to preserve claim eligibility.
- Core Exchanges and Credits
For purchases involving Core Exchange:
- Parts are billed at full purchase price. Final cost reflects price after applicable Core Credit.
- Core must be economically repairable. Units with extensive damage may receive reduced credit at T.I.E.’s discretion.
- An Exchange Form must accompany the Core return.
- Core or valid tracking data must be received within ten (10) business days of Buyer’s receipt of the replacement unit.
- Credits will be issued within ten (10) business days of Core evaluation.
- Refund requests must be submitted within ten (10) business days of credit issuance. If the Buyer has an account balance, the credit will be applied to that balance before refund.
- Inventory Availability
Inventory is offered on an “as-available” and “first-come, first-served” basis. No items will be held without a valid purchase order and required down payment (where applicable).
- Order Cancellation and Return Policy
- Orders canceled after issuance may incur a 25% cancellation fee.
- I.E. reserves the right to retain part or all of any deposit as a restocking fee.
- Once an order has shipped, robot systems are not eligible for return.
- Restocking and Exchanges
All restocks, warranty returns, or exchanges are subject to the following terms:
- Items returned within 14 days may receive partial credit.
- A minimum 15% restocking fee will be applied; minimum fee is $100.
- Credit may be further reduced for:
- Repairs needed prior to restocking,
- Return of the item beyond 14 days,
- Manufacturer re-certification requirements (e.g., FANUC).
No credit is guaranteed for items returned after 30 days from invoice.
For Ambitech Brakes, only select models are eligible for return (ABK1, SSU2G10, etc.). All others are classified as custom and not returnable. Installed units may incur a restocking fee up to 50%
- Warranty
8.1. New and Refurbished Parts
Backed by a 1-year In-Service Warranty from date of installation.
8.2. Repairs of Motors and Other Electronics
Covered under a 1-year In-Service Warranty, limited to parts and labor performed by T.I.E.
8.3. Field Service Labor
Warranted for 90 days from date of signed Field Service Report.
8.4. Refurbished Customer-Owned Robots
Warranty applies only to specific work performed, not to the entire robot or system.
8.5. Warranty Process and Terms
- Buyer must obtain an RMA before returning parts for evaluation.
- Immediate replacements (within 90 days of shipment) may be sent upon credit approval.
- Returned items are evaluated under three outcomes:
- Confirmed Warranty Fault: Credit/refund including shipping.
- No Problem Found (NPF): Subject to restock and rush test fees.
- Out-of-Scope Damage: Buyer may opt to repair, repurchase, or accept return.
Warranty is void if the item:
- Has been tampered with or abused;
- Fails due to contamination or coolant intrusion;
- Is damaged by external causes (voltage surge, fire, flood);
- Is installed incorrectly;
- Is operated outside design intent or exported without authorization.
Warranty for new monitors in the field after 90 days may result in a refurbished replacement if the original cannot be repaired.
8.6. Ambitech brake returns will be evaluated with the same process, and refund methods will vary based on payment type (e.g., credit card, COD, Net Terms). Replacements may be made using new or refurbished components.
- Abandonment of Customer-Owned Materials
Customer-owned items quoted for repair/refurbishment become the property of T.I.E. if no response is received within 180 days from the quote. T.I.E. may dispose of these items at its sole discretion.
- Intellectual Property and Inventions
All concepts, improvements, and inventions developed during performance of this agreement are the sole property of T.I.E. Industrial. Buyer agrees to assist in securing any intellectual property rights.
- Patent and Copyright Indemnity
T.I.E. will defend Buyer from claims that T.I.E.-supplied goods infringe U.S. patents or copyrights, provided Buyer:
- Notifies T.I.E. within 20 days of the claim;
- Provides all necessary support; and
- Allows T.I.E. to lead all defense efforts and negotiations.
Liability is limited to replacement of goods or refund of purchase price. No indemnity is provided for combinations with other goods not supplied by T.I.E., or if the Buyer alters the product.
- Security Interest
Buyer grants T.I.E. Industrial a purchase money security interest (PMSI) in all goods sold, including any replacements, accessories, or proceeds thereof, until full payment is received. Buyer expressly authorizes T.I.E. to file any UCC Financing Statements or related documents necessary to perfect, continue, or enforce this interest, and agrees to cooperate with T.I.E. in doing so upon request.
- Compliance with Laws
Buyer shall comply with all applicable local, state, federal, and international laws concerning the use, sale, transport, or export of goods, services, and technologies provided by T.I.E. Use of goods for WMD development (chemical, biological, nuclear, or missile-based) is expressly prohibited.
- Force Majeure
Neither party shall be liable for delays or failure to perform due to acts of God, labor disputes, governmental actions, embargoes, natural disasters, terrorism, or other events beyond their reasonable control.
- Governing Law and Jurisdiction
This agreement shall be governed by the laws of the State of Tennessee. All disputes shall be adjudicated exclusively in the courts of Rutherford County, Tennessee. Buyer waives any objection to venue or jurisdiction.
- Entire Agreement
These Terms and Conditions, along with any signed proposals or order acknowledgments, constitute the entire agreement between Buyer and T.I.E. Industrial. Any contrary terms in purchase orders or other communications are not binding unless agreed to in writing.
